Terms of Service

These Terms of Service ("Terms") are a legal agreement between Open Health Metrics LLC ("Company," "we," "us," "our") and you ("you," "your") for your use of our website, mobile applications, and related services (collectively, the "Services"). By using the Services, you agree to these Terms.

These Terms apply to: openhealthmetrics.com, openhealthmetrics.org, fetchpatches.com, fetchpatches.org, and the P.A.T.C.H.E.S (PATCHES) app.

1. Eligibility and Account Use

  • You must be at least 18 years old to use the Services.
  • You are responsible for keeping your login credentials secure.
  • You are responsible for activity that occurs under your account.
  • You must provide accurate account and billing information.

2. Service Scope

The Services are provided for general informational and product-use purposes. The Services do not provide medical, legal, or financial advice. Use of the Services does not create a professional-client relationship of any kind.

The current Services are offered to individual consumers, not business or enterprise customers.

3. No Emergency or Professional Advice

Content in the Services is not a substitute for professional judgment. If you need urgent medical or emergency assistance, contact local emergency services immediately.

4. License to Use the App

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal consumer use, subject to these Terms.

You may not:

  • Copy, sell, rent, sublicense, or redistribute the Services except as allowed by law.
  • Reverse engineer or attempt to discover source code where prohibited by law.
  • Bypass security, rate limits, payment controls, or access restrictions.
  • Use bots, scraping tools, crawlers, or automated systems to extract data without permission.
  • Copy, mine, or reuse Service data or content to train machine learning or AI models without written permission.
  • Use the Services to violate laws or third-party rights.

5. User Content and Feedback

If you submit content, reports, feedback, or suggestions, you confirm you have rights to submit it. You grant us a non-exclusive, worldwide, royalty-free license to host, process, and use that content to operate and improve the Services.

6. Intellectual Property

The Services, including software, design, text, graphics, and trademarks, are owned by the Company or its licensors and are protected by applicable intellectual property laws.

7. Subscriptions, Billing, and Auto-Renewal

  • Paid plans renew automatically on the billing cycle selected at checkout unless canceled.
  • You authorize recurring charges to your payment method until cancellation.
  • You may cancel at any time; cancellation applies to the next renewal period.
  • After cancellation, you may request account deletion to remove account data from our systems, subject to legal retention requirements.
  • Deleting the app or not using the Services does not automatically cancel billing.
  • Prices, plan features, and availability may change with prior notice where required by law.

8. Refunds

Unless required by applicable law, payments are non-refundable and we do not provide prorated refunds for partial billing periods. Refund exceptions may be made for confirmed fraud or where a legal refund right applies.

9. Advertising and Third-Party Services

Some versions of the Services may display ads or include integrations from third parties, including Stripe, Google AdMob, Cloudflare, email service providers, and support tooling providers. We are not responsible for third-party products, policies, or content.

10. Privacy

Our data practices are described in our Privacy Policy. By using the Services, you acknowledge that we may process information as described there.

11. Copyright Claims (DMCA)

If you believe content in the Services infringes your copyright, send a written notice to our designated contact including: your signature, identification of the copyrighted work, location of the allegedly infringing material, your contact information, a good-faith statement, and a perjury statement.

If your content was removed and you believe it was a mistake, you may send a valid counter-notice. We may remove or restore content as permitted by law.

12. Suspension and Termination

We may suspend or terminate access at any time for violations of these Terms, suspected abuse, security risk, legal compliance, or operational reasons.

13. Service Availability and Changes

We may update, modify, or discontinue any part of the Services at any time. We do not guarantee uninterrupted or error-free operation.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

16. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, and agents from claims arising out of your misuse of the Services, your content, or your violation of these Terms or law.

17. Governing Law and Arbitration

These Terms are governed by the laws of Wisconsin, United States, without regard to conflict-of-law rules. Any dispute will be resolved by binding individual arbitration in Wausau, Marathon County, Wisconsin, United States, unless applicable law requires otherwise.

You and the Company waive the right to a jury trial and participation in class or representative actions to the extent permitted by law.

18. Export and Sanctions Compliance

You agree to comply with all applicable export control and sanctions laws.

19. Changes to These Terms

We may update these Terms from time to time. The updated version becomes effective when posted, unless a later date is stated.
